TERMS OF SERVICE

Welcome to mattbuyshomes.com (the "Site"), operated by California Prime Real Estate LLC, doing business as Matt Buys Homes ("Matt Buys Homes," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Site and any related services, content, forms, communications, and offers (collectively, the "Services").
Please read these Terms carefully. By accessing or using the Site or submitting any information to us, you agree to be bound by these Terms and our Privacy Policy and Disclaimer. If you do not agree, do not use the Site.
1. Who We Are and What We Do
Matt Buys Homes is a real estate investment business that purchases residential property directly from owners.
Buyer of Record. Matt Buys Homes is a real estate investment program operated by California Prime Real Estate LLC (the "Buyer" or "LLC"). When we purchase your property, California Prime Real Estate LLC is the buyer of record, acting as a principal acquiring real estate for its own account.
Licensure Disclosure. As required by California law, we disclose that Matt Deutchman, who is associated with the LLC, is a licensed California Real Estate Broker (CA DRE License #01939315), with his license held under independent affiliation with eXp Realty. One or more individuals working with the LLC may also hold California real estate licenses. These licenses are held in the individuals' personal capacities and relate to their independent brokerage activities; they do not transfer to, and do not create licensing obligations for, California Prime Real Estate LLC.
eXp Realty Not a Party. eXp Realty is not a party to, has no role in, and does not benefit from California Prime Real Estate LLC's purchase transactions. No statement on the Site or made by us should be construed as a representation by, or on behalf of, eXp Realty.
No Agency Relationship. Notwithstanding the licensure described above, when California Prime Real Estate LLC purchases your property, neither the LLC, Mr. Deutchman, eXp Realty, nor any licensed individual associated with the LLC is acting as your real estate agent, broker, fiduciary, or representative. We do not owe you any agency or fiduciary duties in connection with our purchase of your property. We are not your licensed appraiser, attorney, accountant, or financial advisor. Any offer we extend is the offer of a private buyer, not a brokered listing or appraisal of market value, and any opinion, suggestion, or statement we offer is made in our capacity as a buyer, for our own benefit, and should not be relied upon as professional advice given on your behalf.
No Automatic Representation. The existence of any real estate license held by a person associated with California Prime Real Estate LLC does not create any agency, fiduciary, or representation relationship between the LLC (or any such individual) and you, and none should be implied. If you wish to be represented in connection with the sale of your property, you must (i) request such representation in writing and (ii) sign a fully executed written representation agreement (such as a listing agreement or buyer representation agreement) with a licensed agent or broker of your choosing, clearly setting forth the scope of representation and compensation. Absent such a separately negotiated and fully executed written representation agreement, no agency or representation relationship exists with you, and California Prime Real Estate LLC is acting solely as a principal buyer.
Independent Advice Encouraged. Because we do not represent you, we strongly encourage you to consult your own independent real estate agent, attorney, tax advisor, and/or financial advisor before deciding to accept any offer from us. By submitting a property to us or otherwise interacting with us, you acknowledge that you have read this disclosure and understand that we act solely as a buyer.
We may, at our sole discretion, assign or transfer our right to purchase a property to another buyer, investor, or capital partner before closing.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use the Services. By using the Site, you represent that you meet these requirements. If you are submitting information about a property, you represent that you are the legal owner of that property or are authorized to act on behalf of the owner.
3. Submissions and Communications
When you submit a property to us, schedule a call, fill out a form, or otherwise contact us, you agree that:
- All information you provide is true, accurate, and complete to the best of your knowledge.
- You authorize us to contact you by phone, text message (SMS/MMS), email, or mail at the contact details you provide, including by automated means, for the purpose of evaluating your property, communicating offers, and following up. See our Privacy Policy for details, including how to opt out.
- You authorize us to research your property using public records, third-party data providers, and our own due-diligence sources.
- Submitting a property does not create any obligation for us to make an offer, and our offers (if any) are non-binding unless and until a written purchase agreement is signed by both parties.
4. No Offer, No Guarantee
Nothing on the Site constitutes a binding offer to purchase your property, a guarantee of any specific price, a guarantee of closing within any specific timeframe, or a guarantee that any transaction will occur. Statements such as "we can close in as little as five days" reflect what we have done in past transactions and what we strive to do where conditions allow — they are not guarantees, and actual timelines depend on title status, occupancy, repairs, lender involvement, and other factors outside our control.
Any specific offer we make:
- Is based on the information you provide and information we gather independently;
- May be revised or withdrawn after inspection, title review, or further due diligence;
- Is not an appraisal, broker price opinion ("BPO"), or comparative market analysis ("CMA"); and
- Is the price we, as a cash investor buying "as-is," are willing to pay — which may be less than the price you could receive by listing the property on the open market with a real estate agent.
You are encouraged to consult with a real estate agent, attorney, tax advisor, and/or financial advisor before deciding to accept any offer.
5. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms.
- Submit information about a property you do not own or are not authorized to sell.
- Submit false, misleading, or fraudulent information.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Site, our servers, our networks, or any account.
- Use any robot, scraper, spider, or other automated means to access the Site or extract data, except for legitimate search engine indexing.
- Copy, reproduce, distribute, or create derivative works of any Site content without our prior written consent.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Site to transmit viruses, malware, or other harmful code.
We reserve the right to refuse service, terminate accounts, and remove or edit content at our sole discretion.
6. Intellectual Property
All content on the Site — including text, graphics, logos, images, photographs, video, audio, software, and the overall design — is owned by or licensed to Matt Buys Homes and is protected by U.S. and international copyright, trademark, and other intellectual property laws. "Matt Buys Homes" and our logos are our trademarks. You may not use any of our marks without our prior written permission.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes consistent with these Terms.
7. User Content
If you submit photos, videos, descriptions, or other content about a property to us, you grant Matt Buys Homes a perpetual, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, display, and distribute that content for purposes of evaluating, marketing, closing, reselling, and otherwise dealing with the property and our business. You represent that you have all rights necessary to grant this license.
8. Third-Party Links and Services
The Site may link to third-party websites, advertisements, or services. We do not control and are not responsible for the content, accuracy, policies, or practices of any third party. Your interactions with third parties are solely between you and the third party.
9. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MATT BUYS HOMES DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, CURRENT, OR COMPLETE.

10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MATT BUYS HOMES AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS (EXCLUDING ANY SIGNED WRITTEN PURCHASE AGREEMENT, WHICH IS GOVERNED BY ITS OWN TERMS) WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless Matt Buys Homes and its owners, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any information you submit, including any inaccuracy or misrepresentation regarding a property.
12. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Placer County, California, and you consent to the personal jurisdiction of those courts.
13. Dispute Resolution
Before filing any claim against us, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. The parties may, by mutual agreement, submit the dispute to mediation or arbitration before resorting to litigation. Nothing in this section prevents either party from seeking injunctive or equitable relief in court.
14. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including Sections 6, 7, 9, 10, 11, 12, and 13) will survive.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Your continued use of the Site after any update constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, stop using the Site.
16. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and Matt Buys Homes regarding the Site.
- Severability: If any provision is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
- No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign these Terms without our prior written consent. We may freely assign these Terms.
- Headings: Section headings are for convenience only and do not affect interpretation.
